Engelwood Fund & Corporate Services S.A. is an independent financial and corporate services provider, based in Luxembourg, with headquarters located in Luxembourg city and part of the Engelwood network, built up around the One Stop Shop concept, providing tailored solutions with high level of expertise. The company is a Professional of the Financial Sector regulated by the Luxembourg supervisory authorities (Commission de Surveillance du Secteur Financier – CSSF) and provides incorporation, domiciliation, transfer agency and central administration services to regulated (and unregulated) investment vehicles, with a primary focus on private equity, real estate and private debt structures.
We are currently looking for a Corporate Officer to join our company.
Key responsibilities:
- Assist in the day-to-day corporate administration/governance of a diversified portfolio of clients, including investment funds (private equity, venture capital, real estate, infrastructure and debt funds) as well as SPVs and non-regulated entities and;
- Provide corporate support from incorporation through the life cycle of entities, acting within a PSF environment and supporting funds for which the PSF acts as central administrator (articles of incorporation, fund related agreements and reports, supplier agreements, PPM’s, data sheets, etc.);
- Draft, review and coordinate corporate documentation such as service and domiciliation agreements, loan and financing agreements, powers of attorney, minutes, attendance lists and other legal documents;
- Support the organisation and coordination of board and shareholder meetings for SPVs and funds, including the preparation of board packs and follow-up actions;
- Assist with bank account opening and ongoing relationship management with financial institutions;
- Assist with the annual audit processes for the SPV and funds;
- Handle day-to-day client queries and provide operational support to your client portfolio;
- Coordinate with internal and external stakeholders, including clients, investors, AIFMs, depositary banks, auditors, lawyers, notaries and other service providers;
- Work closely with the Compliance team to facilitate and coordinate AML/KYC processes, including ongoing monitoring;
- Assist in the execution and follow-up of corporate and fund-related transactions (subscriptions, transfers, redemptions, shareholder or bondholder changes);
- Arrange and monitor statutory filings and publications with the Luxembourg Business Register and other authorities;
- Support investor and third-party reporting, liaising with AIFMs, depositary banks and other counterparties as required;
- Maintain and update shareholder, bondholder and investor registers, as well as internal systems and databases.
Minimum profile requirements:
- 2 to 3 years of experience in a similar role within a fiduciary, PSF, fund administrator or corporate services provider in Luxembourg;
- University degree in Corporate Law, Economics, Finance or a related field;
- Good knowledge of Luxembourg company law; knowledge of fund structures is considered an asset;
- Ability to work effectively as part of a team-oriented environment;
- Strong client service mindset, with good organisational and problem-solving skills;
- Knowledge of AML/KYC and regulatory frameworks (RBE, FATCA, CRS) is an advantage;
- Proficient in MS Office tools;
- Fluency in English (written and spoken) is mandatory; French, Italian or Spanish would be considered an asset.
