Engelwood Fund & Corporate Services S.A. is an independent financial and corporate services provider, based in Luxembourg, with headquarters located in Luxembourg city and part of the Engelwood network, built up around the One Stop Shop concept, providing tailored solutions with high level of expertise. The company is a Professional of the Financial Sector regulated by the Luxembourg supervisory authorities (Commission de Surveillance du Secteur Financier – CSSF) and provides incorporation, domiciliation, transfer agency and central administration services to regulated (and unregulated) investment vehicles, with a primary focus on private equity, real estate and private debt structures.

We are currently looking for a Senior Corporate / Legal to join our company.

Key responsibilities:

  • Participate in the operations management: collection of documentation (from distributors, fund managers, …), analysis of operations and drafting of Investment Memorandum, completion of subscription, agreements/questionnaires (for PERE and private debt investments), coordination with counterparties;
  • Exchange with the risk and compliance departments in order to obtain their analyzes and approvals (or not) of the operations;
  • Draft Transaction Monitoring Forms;
  • Complete order templates and their follow-up/execution;
  • Share marketing documents and answer requests from client/advisor relations or new contacts/investors;
  • Monitor and adjust currency hedging according to the guidelines of the investment committee;
  • Support of the central administration oversight team regarding NAV checks;
  • Help in preparation of investment committees;
  • Draft of investment committees minutes;
  • Participate in weekly or monthly reporting work: formatting of portfolios for sending to investors, setting-up “Monthly Reports” for some customers, creation of activity reports for others, updating marketing presentations.
  • Follow-up compliance and risk & valuation requests with external counterparties;
  • Support to the team in daily activities and general coordination with other departments on an ad-hoc basis;
  • Preparation and sending monthly KPIs;
  • Preparation and sending monthly/quarterly reports to the Comex/Boards;
  • Analysis of process within the team and between the departments for potential increase of efficiency;
  • Providing internal training on our expertise to other departments;
  • Attending interviews for new joiners within the team and be part of the recruitment process;
  • Coordination and implementation of new funds/sub-funds/segregated portfolio projects;
  • Outsourcing tasks for external portfolio managers;
  • Private clients management (portfolio allocation, client reporting, regulatory reporting);
  • Support of the relevant team during the audit process;
  • Review and confirmation of the invoices with the Finance team;
  • Calculation of the amounts due to advisors and introducer;
  • Cash monitoring and management for the various accounts under management;
  • Review and comments of the various Operating Memorandum;

 

Key responsibilities:

  • Master’s degree in Law, preferably with a focus on Corporate or Business Law,
  • Strong knowledge of Luxembourg corporate law, RCS procedures, and AML/KYC requirements,
  • Excellent written and verbal communication skills in English; additional languages are an asset,
  • Autonomous, rigorous, and solution-oriented, with a strong client focus,
  • Confident in managing complex transactions and mentoring junior team members,
  • Eager to contribute to continuous improvement and legal best practices.
